1. Acceptance of Terms
These Terms of Service govern your access to and use of Vardha Tech's website, Smart QR Stands, AI-assisted search engine optimization services, and automation platforms (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
2. Description of Services
Vardha Tech provides AI-assisted marketing services, which may include:
- Physical Smart QR Stands and automated WhatsApp CRM management.
- Website technical audits, keyword research, and AI-generated content strategy.
- Proprietary backend optimizations designed to improve visibility in traditional and AI-driven search engines.
3. Client Responsibilities
To enable Vardha Tech to deliver its Services, you agree to:
- Provide accurate business information and grant necessary access to your website's CMS and analytics platforms.
- Ensure you hold the rights to all materials and websites you provide to us.
- Maintain independent backups of your website and data.
4. Intellectual Property and Proprietary Methods (The Vardha Tech Moat)
Vardha Tech's IP: All software, proprietary automation workflows, AI prompt structures, backend architectures, methodologies, and internal processes used to deliver the Services remain the exclusive intellectual property of Vardha Tech. You may not reverse-engineer or claim ownership of our operational infrastructure.
Client Deliverables: Upon full payment, the client owns the final generated content delivered and published specifically to their website.
5. No Guarantees; Acknowledgment of Risk
You acknowledge and agree that search engine algorithms and AI discovery systems (e.g., Google, ChatGPT, Perplexity) are third-party platforms entirely outside of Vardha Tech's control. Search visibility is probabilistic, and rankings or traffic may fluctuate. Vardha Tech expressly disclaims any guarantee of specific results, including first-page rankings, AI citations, or guaranteed revenue growth.
6. Fees and Payments
The following payment terms apply to all Vardha Tech service agreements:
- All setup fees and monthly recurring retainers are billed in advance.
- All fees are non-refundable.
- Failure to remit payment may result in the immediate suspension or termination of automated Services and CMS optimizations.
7. Limitation of Liability
To the maximum extent permitted by law, Vardha Tech shall not be liable for indirect, incidental, special, or consequential damages arising from the use of our Services, including third-party platform algorithm changes or CMS outages. Total liability shall not exceed the amount paid by the client to Vardha Tech in the three (3) months preceding the claim.
